Acceptance of Terms

By accessing or using G-Marketplace.AI (the "Service"), the AI Content Production Marketplace for buying, selling, and licensing AI agents, templates, production assets, and intellectual property, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Description of Services

G-Marketplace.AI provides a platform for buying, selling, and licensing AI agents, prompt templates, pipeline templates, production assets, finished productions, and related intellectual property. We facilitate transactions between buyers and sellers but do not directly provide the listed products or services.

User Accounts

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it updated.

Intellectual Property

All content, trademarks, and intellectual property displayed on G-Marketplace.AI are owned by InnoWave Limited or their respective owners. Sellers retain ownership of their listed content and grant buyers licenses as specified in their listing terms. You may not reproduce, distribute, or create derivative works from our platform content without explicit permission.

Acceptable Use

You agree not to use the Service to: upload or distribute harmful, illegal, or infringing content; engage in fraudulent transactions; attempt to circumvent platform security or payment systems; harass, abuse, or harm other users; use automated systems to scrape or collect data without authorization; or violate any applicable laws or regulations.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. InnoWave Limited does not warrant that the Service will be uninterrupted, error-free, or secure. We do not endorse or guarantee the quality, accuracy, or legality of any listings, content, or user-generated materials on the platform.

Limitation of Liability

To the fullest extent permitted by law, InnoWave Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount you have paid to us in the twelve months preceding the claim.

Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Hong Kong SAR.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting updated terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified terms.
